Agreement to these Terms

By creating an account, beginning an Early Access trial, purchasing a subscription, or otherwise using Indietory, you agree to these Terms.

If you use Indietory on behalf of a business or other organization, you represent that you have authority to accept these Terms on its behalf. In that case, references to "you" or "your" include that organization where appropriate.

Your use of Indietory is also subject to our Privacy Policy.

Eligibility and United States availability

You must be at least 18 years old to create or use an Indietory account.

Indietory Early Access is currently intended for businesses based in the United States.

We may decline or restrict Early Access registration for businesses based outside the United States while the service remains in Early Access.

Accounts and authorized users

You are responsible for maintaining accurate account information and protecting your account credentials.

Individual user accounts are intended for use by the person to whom they are assigned. You may not share credentials in order to avoid applicable user or plan limits.

Account owners and administrators are responsible for deciding who should have access to their organization, assigning appropriate roles and permissions, removing access when it is no longer needed, and overseeing activity performed by users they authorize.

Plan limits, user limits, device limits, and other subscription limits shown at the time of purchase or within the service apply to your account.

Free trial

Eligible Early Access accounts currently include a 14-day free trial.

A payment method is not required to begin the trial. You may add a payment method at any time during the trial so that paid service can begin without interruption when the trial ends.

Unless otherwise stated, the first paid subscription period begins when the 14-day trial ends.

If a valid payment method is not available when the trial ends, paid access may be paused, restricted, or otherwise unavailable until billing is successfully established.

We may limit repeat trials or decline to provide additional trial periods to the same person, business, or account.

Subscriptions and billing

Monthly billing

Paid Indietory subscriptions are billed monthly in advance unless another billing arrangement is expressly offered.

By beginning a paid subscription, you authorize Indietory and its payment processor to charge the applicable recurring subscription fees, additional-user fees, and any applicable taxes to your payment method until the subscription is canceled.

Your monthly renewal date is generally based on the date your paid subscription begins. If the equivalent calendar date does not exist in a particular month, billing may occur on the last applicable day of that month.

Payment processing

Subscription payments are processed through a third-party payment processor, currently Stripe.

Indietory does not directly store complete payment-card numbers.

Upgrades

Subscription upgrades may take effect immediately.

When you upgrade during an existing billing period, you may be charged a prorated amount representing the difference between your previous subscription and the upgraded subscription for the remainder of the current billing period.

An upgrade that requires additional payment will not be treated as complete until the required payment succeeds.

Downgrades

Subscription downgrades take effect at the beginning of the next billing period.

You continue to receive the benefits of your current paid plan through the end of the billing period you have already paid for. Downgrades do not create a refund or credit for the current billing period.

Additional users

Some plans allow additional user capacity to be purchased beyond the number included with the base subscription.

Adding paid user capacity may take effect immediately and may result in a prorated charge for the remainder of the current billing period.

Billing is based on the user capacity purchased for your account, not simply on whether a particular individual happens to be actively using Indietory at a given moment.

Marking a user inactive may allow that user capacity to be reassigned, but it does not automatically reduce the amount of paid user capacity on your subscription.

A reduction in paid user capacity must be requested through the billing controls or process made available by Indietory and takes effect at the next billing renewal. No partial-period refund or credit is issued for removing paid user capacity.

Failed payments

If a subscription payment fails, we may retry payment and may restrict or suspend paid access until the outstanding amount is successfully paid.

We are not required to provide a specific payment grace period unless one is expressly communicated or required by applicable law.

Taxes

Subscription prices may be subject to applicable sales, use, or similar taxes. Where required, those taxes may be added to the amount charged.

Cancellation and refunds

You may cancel your subscription at any time using the billing controls made available through Indietory.

Customer-requested cancellations take effect at the end of the current paid billing period. You may continue using the applicable paid service until that period ends.

A cancellation is effective when it is successfully submitted through the available billing controls and reflected on your subscription. If you experience a technical problem that prevents you from canceling through those controls, you may contact us at [email protected] for assistance.

Subscription payments are non-refundable except where required by law or where Indietory chooses to issue a refund or credit in its discretion.

We do not provide partial-month refunds or service credits for unused time, customer-requested cancellations, plan downgrades, reduced user capacity, temporary service interruptions, or browser, device, internet, or hardware compatibility issues.

This does not prevent Indietory from correcting a billing error or issuing a refund when we determine that doing so is appropriate.

Early Access pricing

Customers who begin a qualifying paid subscription during Early Access may receive reduced Early Access pricing.

The applicable qualifying Early Access subscription price will remain protected through Early Access and for one full year after Indietory's full launch, as long as the subscription remains continuously active.

Indietory will clearly communicate the date of full launch. Once that date has been established, we may update these Terms or related billing information to reflect it.

Canceling or allowing a protected subscription to lapse may end eligibility for Early Access pricing if you later return.

Protected pricing does not prevent your total subscription charge from changing because you upgrade plans, add users, remove users, incur applicable taxes, or otherwise change your subscription.

After any applicable Early Access protection period ends, Indietory may change subscription pricing with advance notice. Price changes will apply prospectively and will not retroactively change amounts already paid.

Customer Content and ownership

"Customer Content" means information, data, records, text, notes, instructions, and other material that you or your authorized users enter, submit, import, or, where supported, upload to Indietory.

You retain ownership of your Customer Content.

Customer Content may include proprietary or commercially valuable information such as formulas, recipes, production instructions, manufacturing methods, product information, customer and vendor records, costs, and other intellectual property.

Indietory recognizes that this information may have significant value to your business. We do not claim ownership of your Customer Content or of intellectual property contained within it.

You grant Indietory a limited, non-exclusive, worldwide, royalty-free right to host, store, copy, process, transmit, back up, and otherwise handle Customer Content only as reasonably necessary to provide, operate, secure, maintain, troubleshoot, and support the service, comply with law, and perform our obligations under these Terms.

This limited permission does not transfer ownership of Customer Content to Indietory.

Your responsibility for Customer Content

You are responsible for the Customer Content entered into your Indietory account.

You are responsible for ensuring that Customer Content is accurate, appropriate, lawful, and that you have the rights or authority necessary to collect, store, and use it.

Indietory does not independently verify inventory quantities, costs, customer or vendor details, production quantities, locations, dates, quality statuses, instructions, or other information entered by customers.

We are not responsible for errors, omissions, inaccuracies, or consequences resulting from information entered incorrectly, incompletely, or unlawfully by you or your authorized users.

You are also responsible for the content of notes, records, and other flexible fields and should not use Indietory to store unnecessary highly sensitive personal information.

Operational decisions and data accuracy

Indietory is intended to help organize and present operational information. It does not replace your judgment or responsibility for operating your business.

You are responsible for reviewing and verifying information before relying on it for purchasing, production, inventory, shipping, quality, financial, regulatory, customer, or other business decisions.

Results produced by Indietory depend on the information entered, the configuration of the account, and the way the service is used.

Regulatory and compliance responsibility

Indietory provides tools that may assist with recordkeeping, inventory control, traceability, production records, and related business processes.

Use of Indietory does not guarantee compliance with any law, regulation, industry standard, quality system, manufacturing requirement, recordkeeping requirement, or other legal or regulatory obligation.

You remain responsible for determining which requirements apply to your business and for ensuring that your operations, products, records, procedures, and use of Indietory satisfy those requirements.

This includes, where applicable, requirements relating to cosmetics, food, supplements, manufacturing, quality, labeling, safety, accounting, taxation, privacy, customer records, and other regulated activities.

Costs, COGS, and financial information

Indietory may calculate or display operational information such as inventory costs, production costs, COGS, gross profit, estimated costs, or related financial values.

These values are derived from customer-entered information and the application's configured calculations and should be treated as operational estimates and tools.

Indietory is not an accounting, tax, legal, or financial advisory service, and information produced by Indietory is not professional accounting, tax, legal, or financial advice.

You are responsible for verifying financial information and for maintaining any accounting, tax, or financial records required for your business.

Acceptable use

You may not use Indietory to:

• Violate applicable law or the rights of another person
• Engage in fraud, deception, or unlawful activity
• Gain or attempt to gain unauthorized access to accounts, systems, infrastructure, or data
• Circumvent authentication, security, licensing, user, device, or other technical restrictions
• Introduce malware, malicious code, or other harmful material
• Probe, exploit, disrupt, overload, or interfere with the security, availability, or operation of the service
• Reverse engineer or attempt to derive source code except where such restriction is prohibited by applicable law
• Use automated methods to access or extract data from the service in a manner not authorized by Indietory
• Share user credentials to avoid applicable subscription or user limits
• Store unlawful material or highly sensitive information that Indietory is not designed to handle

We may investigate suspected misuse and take reasonable action to protect Indietory, our customers, and others.

Browsers, devices, and internet access

Indietory is designed to work across common modern browsers, computers, tablets, and mobile devices.

Because browsers, operating systems, devices, cameras, security settings, and hardware combinations vary widely, we do not guarantee that every feature will work on every browser, device, or configuration.

Features that depend on device capabilities, such as browser-based camera or QR scanning, may be affected by the browser, operating system, permissions, camera hardware, security configuration, or other factors outside Indietory's control.

You are responsible for providing and maintaining compatible devices, supported browser software, a suitable internet connection, cameras or scanning equipment where applicable, and other equipment needed to use the service.

Availability and uptime

We work to keep Indietory available and reliable, but Early Access does not currently include a service-level agreement or guaranteed uptime percentage.

Indietory may occasionally be unavailable or degraded because of maintenance, software bugs, infrastructure problems, security events, third-party failures, internet conditions, updates, or other causes.

We may perform planned or emergency maintenance when reasonably necessary.

Unless required by law or expressly agreed otherwise, temporary downtime or service interruption does not create an entitlement to a refund, credit, or service payment.

Support

Indietory provides customer support through the channels we make available.

We aim to respond to customer questions and problems reasonably promptly, but Early Access does not include a guaranteed support response time, resolution time, or support SLA unless separately agreed in writing.

Backups and data recovery

Indietory uses backups and recovery measures intended to help protect the service from major data loss and support disaster recovery.

Those backups are primarily intended for Indietory-wide or infrastructure-level recovery. They are not designed as a customer-level undo system or guaranteed point-in-time restore service.

Indietory does not guarantee that an individual customer's workspace, record, transaction, or previous data state can be restored after deletion, modification, incorrect input, user error, or another data change.

Although we take reasonable measures to protect customer data, no backup or recovery process can guarantee against every possible form of data loss.

Customers should maintain independent copies of business-critical information where appropriate. Export features may be limited to the data and functionality currently supported by Indietory, and we do not guarantee that every category of data can be exported in every format.

Early Access and changes to the service

Indietory is currently offered in Early Access and will continue to develop.

During Early Access, we may add, remove, redesign, refine, or otherwise change features, workflows, interfaces, APIs, data structures, documentation, and other parts of the service.

Early Access software may contain defects, incomplete functionality, or behavior that changes as the product develops.

We will make reasonable efforts to communicate material changes when doing so is practical, but we do not guarantee that every existing feature or workflow will remain unchanged.

Third-party services

Indietory depends on third-party providers for services such as cloud infrastructure, databases, networking, email, payment processing, and related technology.

Those third-party services may be subject to their own terms, policies, limitations, maintenance, and availability.

To the maximum extent permitted by law, Indietory is not responsible for failures, interruptions, losses, or other problems caused by third-party services or infrastructure outside our reasonable control.

Suspension and termination

We may restrict, suspend, or terminate access to Indietory when we reasonably believe it is necessary because of:

• Nonpayment
• A violation of these Terms
• Illegal or fraudulent activity
• A security threat or suspected account compromise
• Abusive or harmful use of the service
• Conduct that could materially harm Indietory, our infrastructure, another customer, or another person
• A legal or regulatory requirement

Where reasonable under the circumstances, we may provide notice and an opportunity to correct a problem before termination. Immediate action may be taken where necessary for security, legal, fraud-prevention, or safety reasons.

We may also discontinue the service or terminate a subscription for legitimate business reasons. When practical, we will provide reasonable advance notice.

If Indietory terminates a prepaid subscription for our convenience rather than because of your breach, nonpayment, misuse, security issue, or legal violation, we will provide a prorated refund for the unused portion of the prepaid subscription period.

Treatment and deletion of Customer Content following account closure is subject to our Privacy Policy and applicable retention requirements.

Indietory intellectual property

Indietory LLC owns or licenses the Indietory service, software, source code, designs, interfaces, branding, trademarks, documentation, and other materials that make up the service, excluding Customer Content.

Subject to these Terms and payment of applicable fees, Indietory grants you a limited, non-exclusive, non-transferable, revocable right to access and use the service for your internal business operations.

Your subscription does not transfer ownership of Indietory or its intellectual property to you.

Feedback and suggestions

We welcome feedback, ideas, feature requests, and suggestions.

If you voluntarily provide feedback about Indietory, you grant us permission to use, evaluate, develop from, and incorporate that feedback into Indietory without restriction, payment, compensation, or obligation to you.

Providing feedback does not give you ownership of features, improvements, designs, or other work developed by Indietory based on or related to that feedback.

This section applies to feedback about the Indietory product and does not transfer ownership of your Customer Content or business intellectual property.

Disclaimer of warranties

To the maximum extent permitted by applicable law, Indietory is provided on an "as is" and "as available" basis.

Indietory disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, and any other warranties that may otherwise arise by law, course of dealing, or usage of trade, to the extent those warranties may legally be disclaimed.

We do not warrant that Indietory will always be uninterrupted, error-free, completely secure, compatible with every device or browser, or suitable for every business, industry, workflow, or regulatory requirement.

We also do not warrant that information, calculations, recommendations, records, or results produced through the service will always be complete or free from error.

Limitation of liability

To the maximum extent permitted by applicable law, Indietory LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or related to your use of or inability to use Indietory.

This includes, without limitation, lost profits, lost revenue, lost production, missed orders, lost business opportunities, business interruption, loss of goodwill, loss or corruption of data, replacement-service costs, or similar business losses, whether caused by outages, software errors, inaccurate Customer Content, incorrect calculations, third-party failures, inability to access the service, or another cause related to the service.

To the maximum extent permitted by law, the total aggregate liability of Indietory LLC for all claims arising out of or relating to the service or these Terms will not exceed the total amount you actually paid to Indietory during the 12 months immediately preceding the event giving rise to the claim.

These limitations apply regardless of the legal theory asserted and even if Indietory has been advised that a loss may occur.

Some jurisdictions do not allow certain limitations of liability. Where a limitation in these Terms cannot legally be applied, it will apply only to the maximum extent permitted by law.

Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless Indietory LLC and its members, employees, contractors, and agents from third-party claims, liabilities, damages, losses, and reasonable costs arising from:

• Customer Content that violates applicable law or another person's rights
• Your unlawful or unauthorized use of Indietory
• Your material violation of these Terms

This obligation does not apply to the extent a claim results from Indietory's own unlawful conduct or other responsibility that cannot legally be shifted to you.

Events beyond our reasonable control

Indietory will not be responsible for delay or failure to perform caused by events beyond our reasonable control.

These events may include natural disasters, widespread internet or telecommunications failures, major cloud-provider outages, government actions, war, civil unrest, labor disruptions, power failures, or other events that cannot reasonably be prevented or controlled by Indietory.

Changes to these Terms

We may update these Terms as Indietory develops, our business practices change, or legal requirements change.

When we update these Terms, we will revise the effective date shown at the top of this page.

If a change materially affects existing customers, we may provide reasonable additional notice through email, the application, the website, or another appropriate method.

Material pricing changes affecting existing subscriptions will apply prospectively rather than retroactively and remain subject to any applicable Early Access pricing commitment.

Continued use of Indietory after revised Terms become effective constitutes acceptance of those revised Terms to the extent permitted by applicable law.

Electronic communications

You agree that Indietory may provide service notices, billing notices, legal notices, account communications, and other communications electronically through email, the application, or the Indietory website.

You are responsible for maintaining a current email address associated with your account.

Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to its conflict-of-law principles, except where applicable law requires otherwise.

Before beginning formal legal proceedings, you and Indietory agree to make a reasonable effort to resolve a dispute informally by contacting the other party and describing the issue.

If a dispute cannot be resolved informally, it may be brought in a court of competent jurisdiction in Pennsylvania, subject to applicable law.

Assignment

You may not assign or transfer these Terms or your Indietory subscription to another person or entity without Indietory's prior consent.

Indietory may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, or similar business transaction.

Severability and waiver

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

If Indietory does not enforce a provision of these Terms on one occasion, that does not waive our right to enforce it later.

Entire agreement

These Terms, together with the Privacy Policy, applicable subscription information, and any additional terms expressly agreed between you and Indietory, form the agreement governing your use of the service.

If Indietory and a customer later enter into a separately signed agreement that expressly conflicts with these Terms, the signed agreement will control to the extent of that conflict.
